Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. You agree that any legal action or proceeding between you and CozyMinimal for any purpose concerning these Terms or the parties' obligations hereunder shall be brought exclusively in a court of competent jurisdiction sitting in Toronto, Ontario, Canada.

By using our website and services, you irrevocably consent to the jurisdiction and venue of such courts and waive any objection to such jurisdiction or venue. You also agree that any cause of action you may have with respect to CozyMinimal must be commenced within one (1) year after the claim or cause of action arises.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

These Terms constitute the entire agreement between you and CozyMinimal with respect to the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and CozyMinimal with respect to the website and services.

Dispute Resolution

Any dispute arising out of or relating to these Terms or your use of our website or services shall be resolved through binding arbitration in accordance with the Arbitration Act of Ontario. The arbitration shall be conducted in Toronto, Ontario, Canada, by a single arbitrator appointed in accordance with the rules of the ADR Institute of Ontario.

The arbitrator's decision shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own costs of arbitration, except that the arbitrator may award reasonable attorneys' fees and expenses to the prevailing party.

Notwithstanding the foregoing, CozyMinimal reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.
